These Terms of Service (hereinafter the "Terms") set out the conditions for use of the authentic experience booking service "MAHOROBA" (hereinafter the "Service") operated by Econoha Group, Inc. (hereinafter the "Company"). All customers who use the Service (hereinafter the "User") shall use the Service upon agreement to these Terms.
1 Article 1 (General Provisions)
1. These Terms shall apply to all matters concerning use of the Service between the User and the Company. The User shall use the Service having fully understood and agreed to the content of these Terms.
2. The Company may change these Terms without the User's prior consent. Unless otherwise provided by the Company, the revised Terms shall take effect from the time they are displayed on the Service.
3. Individual terms of use, guidelines and notices (hereinafter "Individual Provisions") posted by the Company on the Service shall form part of these Terms. If there is any conflict between these Terms and the Individual Provisions, the Individual Provisions shall prevail.
2 Article 2 (Definitions)
In these Terms, the following terms have the meanings set out below.
1. "Service" means the authentic experience booking intermediary service provided by the Company through its website and applications. This includes posting information, accepting bookings and processing payments for food experiences, traditional culture experiences, samurai and ninja experiences, craft experiences, night experiences, guided temple and shrine tours and other activities in the Osaka & Kansai area (Osaka, Kyoto, Nara, Kobe, Wakayama, etc.).
2. "User" means any person who uses the Service, regardless of whether they are a registered member.
3. "Member" means a User who has agreed to these Terms and completed member registration in the manner prescribed by the Company.
4. "Partner Provider" means travel businesses, experience operators, instructors, craftspeople and guides who offer authentic experiences through the Service. The Company verifies partner providers' operating permits, liability insurance and safety-management practices in advance.
3 Article 3 (Member Registration)
1. Any person wishing to register as a Member shall enter the required information in the Company's registration form and apply for registration after agreeing to these Terms. When the Company approves the application and registration is completed, a service agreement based on these Terms shall come into effect between the User and the Company.
2. The Company may refuse to approve a registration application in any of the following cases, and shall have no obligation to disclose its reasons:
(1) if any false information, misrepresentation or omission is found in the registration details;
(2) if the applicant has previously breached these Terms;
(3) if the applicant is a minor, an adult ward, a person under curatorship or a person under assistance, and has not obtained the consent of their legal representative;
(4) any other case in which the Company determines that registration is inappropriate.
3. If any registered information changes, the Member shall promptly update the information in the manner prescribed by the Company. The Company shall not be liable for any damages arising from delays in such updates.
4 Article 4 (Formation of Bookings)
1. The User may apply to book authentic experiences listed on the Service in the manner prescribed by the Company. The booking application shall be deemed complete when the User enters the required information, confirms the details and submits the application.
2. Any contract regarding an authentic experience is formed between the User and the Partner Provider. The Company acts as an intermediary between the User and the Partner Provider and is not itself the direct provider of the experience.
3. Once a booking is formed, a confirmation email shall be sent to the User. If any details in the email are incorrect, please contact the Company's customer support promptly.
4. The Partner Provider may cancel the authentic experience even after the booking has been formed, for safety or other justifiable reasons. In such cases the full amount shall be refunded to the User.
5 Article 5 (Fees and Payment)
1. The fee for each authentic experience is the amount displayed on the detail page of each plan. Displayed fees include consumption tax. If additional costs arise on-site (admission fees, materials, add-on options, etc.), they shall be noted in the plan's notes.
2. The User shall pay the fee by one of the following methods at the time of booking:
(1) Credit card (Visa, Mastercard, JCB, American Express)
(2) PayPay
(3) Pay on-site (cash on the day)
3. Payment is in principle processed at the time of booking (prepayment). For credit card payments, the credit limit is reserved at confirmation and charged on the day of the experience.
4. The method and timing of any refund due to User-initiated cancellation shall depend on the payment method. Please refer to the Cancellation Policy for details.
6 Article 6 (Cancellations and Changes)
1. The User may cancel or change a booking via My Page or by contacting customer support. However, depending on when the cancellation is made, the following cancellation fees shall apply:
(1) Up to 7 days before the experience: free
(2) 3 to 6 days before the experience: 30% of the fee
(3) The day before the experience: 50% of the fee
(4) The day of the experience: 100% of the fee
(5) No-show: 100% of the fee
2. The above cancellation fees are standard. If a Partner Provider has set its own cancellation policy, that policy shall prevail. The policy applicable to each plan is clearly stated on the plan detail page.
3. No cancellation fee shall apply in the event of cancellation due to natural disasters such as typhoons, earthquakes or tsunami, or due to a Partner Provider's decision to cancel the experience, and the full amount shall be refunded.
7 Article 7 (Disclaimer)
1. The Company performs reasonable checks on the quality, safety and legality of authentic experiences offered through the Service, but does not completely guarantee them. Ultimate responsibility for running each authentic experience lies with the Partner Provider.
2. The Company shall not be liable for any damages arising to the User from the following causes, except in cases of willful misconduct or gross negligence on the part of the Company:
(1) changes to or cancellation of experiences due to weather, natural conditions or similar;
(2) accidents or injuries resulting from the User's own actions at their own risk;
(3) damages caused by acts or omissions of Partner Providers;
(4) temporary unavailability of the Service due to system or network failures;
(5) disputes between Users.
3. Where the Company is liable to the User for damages, such liability shall be limited in scope to the amount of fees paid by the User to the Company, except in cases of willful misconduct or gross negligence on the part of the Company.
8 Article 8 (Prohibited Conduct)
The User shall not engage in any of the following acts when using the Service:
(1) acts that violate laws or public order and morals;
(2) acts related to criminal activity;
(3) registering false information;
(4) infringing the rights of other Users, Partner Providers, the Company or any third party;
(5) obstructing the operation of the Service, or placing excessive load on its servers or networks;
(6) improperly collecting other Users' personal information;
(7) conducting sales, religious or political activity via the Service, or other conduct contrary to the Service's purpose;
(8) reproducing, redistributing or otherwise using the Service's content without the Company's permission;
(9) unauthorized access, impersonation and similar acts;
(10) any other acts the Company deems inappropriate.
2. If the User breaches any of the preceding items, the Company may, without prior notice, suspend the User's account, revoke membership, or take any other measure the Company deems necessary.
9 Article 9 (Handling of Personal Information)
1. The Company shall handle the User's personal information appropriately in accordance with its separately established "Privacy Policy".
2. The Company shall use personal information obtained from the User for purposes such as booking processing, customer support, service improvement and marketing. Please refer to the Privacy Policy for details on purposes of use.
3. Within the scope necessary for processing a booking, the Company shall share the User's personal information (name, contact details, booking details, etc.) with the relevant Partner Provider. By using the Service, the User is deemed to have consented to such sharing.
10 Article 10 (Intellectual Property Rights)
1. Copyrights, trademarks, patents and other intellectual property rights relating to the Service belong to the Company or to third parties who have licensed rights to the Company. The User shall not reproduce, adapt, publicly transmit or otherwise use such rights without the Company's prior written consent.
2. Copyright in reviews, photographs, ratings and other content posted by the User to the Service (hereinafter "Posted Content") belongs to the User who posted it. However, the User grants the Company a royalty-free licence to use Posted Content on the Service and in the Company's advertising and promotion.
3. If the Company determines that Posted Content infringes the rights of a third party, the Company may remove such content without prior notice to the User.
11 Article 11 (Governing Law and Jurisdiction)
1. The interpretation and application of these Terms shall be governed by Japanese law.
2. If any dispute arises between the User and the Company regarding these Terms, both parties shall first seek resolution through good-faith discussion. If no resolution can be reached, the Osaka District Court shall be the exclusive court of first instance by agreement.
3. If any provision of these Terms is held to be invalid or unenforceable by law, the remaining provisions shall remain in full force and effect.
